Government Prioritize Investment Commitment from Contractor


Limit Signup Bonus


The Ministry of Energy and Mineral Resources (ESDM) rejected the removal of the upper limit of the termination of the oil and gas contract because the government wants to pursue non-tax state revenue (PNBP) from this bonus. The heavy investment commitment of oil and gas contractors remains the priority of the Ministry of Energy.

Referring to Article 12 of Regulation of the Minister of Energy and Mineral Resources 23/2018 concerning the management of oil and gas working area that will expire its contract, the signature bonus shall be at least US $ 1 million and shall be limited to a maximum of US $ 250 million. However, in Ministerial Regulation 28/2018 which is a revision of Ministerial Regulation 23, the upper limit of US $ 250 million is removed.

ESDM Representative Arcandra Tahar said the removal of the upper limit of the signature bonus of oil and gas contracts is not because the government wants to win its big bonus. This abolition is intended to make the signature bonus signing fairer, considering there are some oil and gas blocks that have a net present value (NPV) quite well.

Moreover, the government has set a formula to calculate the signature bonus block this termination. Referring to the Decree of the Minister of Energy and Mineral Resources 1794/2018, the formula is 25% multiplied by the NPV reduction of contractors with a 10% discount rate with undertaking investment commitments and a fixed working commitment NPV.

"Thus, the greater the commitment (the exact working commitment), the signature bonus is getting smaller. It does not matter because this (signature bonus) is better used to search oil and gas, for exploration, "said Arcandra in Jakarta.

Determination of signature bonus formula is also judged fair enough. Because the terminating oil and gas blocks, both the government and the contractor have the remaining reserves data from the block. The amount of this reserve is then given a value or calculated NPV which then becomes the base of signature bonus calculation. Arcandra explained, it uses NPV because the value of money at the time signed and when oil and gas production flows may be different because of the inflation or other causes.

Then, the government also provides a discount rate of 10% to make it more attractive than the interest on business loans in the bank which is about 10-11%. He said the existence of this formula provides certainty to the oil and gas contractor related to the signature bonus amount. Because, so far the government has no reference to set the signature bonus. The largest, the government once collected signature bonus up to US $ 41 million when the new contract of Mahakam block signed by PT Pertamina (Persero).

However, this signature bonus formula does not apply to new oil and gas blocks that are still in the exploration stage and have not known their oil and gas reserves.

"Meanwhile, if the oil and gas explosion blast bidding, because it can not be calculated NPV," said Arcandra.

Referring to the data of the Ministry of Energy and Mineral Resources, there are 21 oil and gas blocks that will expire in 2019-2026. For 2019, the government has set a new manager, PT Pertamina Hulu Energi Jambi Merang will again become the aperator of Jambi Merang Block, PT Pertamina Hulu Energi Tempirai for Raja-Pendapa Block, Kalrez Petraleum (Seram) Ltd for Bula Block, and CITIC Seram Energy Limited for Seram Nan Bula block.

Furthermore, by 2020, the oil and gas blocks that have been completed are South Jambi Black B Block, Brantas, Salawati Bird's Head, Malacca Strait, Makassar Strait, and Salawati Basin onshore. Other blocks to be completed by 2021 are the Bentu Segat Block, the Long Strait, and the Rakan Block which produces the largest oil in India.

In 2022, following the block Tarakan East, Coastal Plains and Pekanbaru, Bengkal, and Sengkang will be completed contract. Furthermore, in 2023, the Rimau, Jabun, and Karidar block blocks are one of the largest blocks of gas production in India that Conoco Philips produces.


In 2025, the Bangka block will follow the completion of the contract. Director General of Oil and Gas of the Ministry of Energy and Mineral Resources, Djoko Siswanto, previously disclosed, in accordance with Government Regulation no. 35 of 2004 Article 28, the existing contractor may apply for a contract extension not later than 10 years and no later than 2 years before the contract is completed. While the government must make new managerial decisions at least one year later.

BATAS Bonus TANDA TANGAN 


Pemerintah Prioritaskan Komitmen Investasi dari Kontraktor

Kementerian Energi dan Sumber Daya Mineral (ESDM) menampik penghapusan batas atas banus tanda tangan kontrak blok migas terminasi lantaran pemerintah ingin mengejar penerimaan negara bukan pajak (PNBP) dari bonus ini. Kamitmen investasi yang besar dari kontraktor migas tetap menjadi priaritas Kementerian Energi.

Mengacu pada Pasal 12 dari Peraturan Menteri ESDM 23/2018 tentang pengelolaan wilayah kerja migas yang akan berakhir kontraknya, bonus tanda tangan ditetapkan paling sedikit US$ 1 juta dan dibatasi paling besar US$ 250 juta. Namun, dalam Peraturan Menteri 28/2018 yang merupakan revisi Peraturan Menteri 23, batas atas US$ 250 juta ini dihapus.

Wakil ESDM Arcandra Tahar mengatakan, penghapusan batas atas bonus tanda tangan kontrak migas bukan karena pemerintah ingin memperaleh bonus sebesar-besar nya. Penghapusan ini dimaksudkan agar penetapan bonus tanda tangan menjadi lebih adil, mengingat terdapat beberapa blok migas yang memiliki net present value (NPV) cukup baik.

Apalagi pemerintah telah menetapkan formula untuk menghitung besaran bonus tanda tangan blok terminasi ini. Mengacu pada Keputusan Menteri ESDM 1794/ 2018, formulanya yakni 25% dikali hasil pengurangan NPV kontraktor dengan discount rate 10% dengan komitmen investasi yang belum dikembalikan dan NPV komitmen kerja pasti.

“Sehingga, makin besar komitmen (komitmen kerja pasti), maka bonus tanda tangan makin kecil. Ini tidak masalah karena ini (bonus tanda tangan) Iebih baik digunakan untuk mencari migas, untuk eksplarasi,” kata Arcandra di Jakarta.

Penetapan formula bonus tanda tangan juga dinilainya cukup adil. Karena blok migas terminasi, maka baik pemerintah maupun kontraktor memiliki data sisa cadangan dari blok tersebut. Besaran cadangan ini kemudian diberi nilai atau dihitung NPV yang kemudian menjadi basis penghitungan bonus tanda tangan. Arcandra menjelaskan, pihaknya menggunakan NPV dikarenakan nilai uang pada saat ditanda tangani dan ketika produksi migas mengalir bisa saja berbeda lantaran adanya inflasi atau penyebab lainnya. 

Kemudian, pemerintah juga memberikan discount rate 10% agar lebih menarik dari bunga pinjaman usaha di bank yang sekitar 10-11%. Dikatakannya, adanya formula ini memberikan kepastian kepada kontraktor migas terkait besaran bonus tanda tangan. Pasalnya, selama ini pemerintah tidak memiliki acuan untuk menetapkan bonus tanda tangan. Yang terbesar, pemerintah pernah memungut bonus tanda tangan hingga US$ 41 juta ketika kontrak baru blok Mahakam ditanda tangani PT Pertamina (Persero).

Meski demikian, formula bonus tanda tangan ini tidak berlaku untuk blok migas baru yang masih tahap eksplorasi dan belum diketahui cadangan migasnya. 

“Sementara kalau blok migas eksplarasi pakainya bidding, karena tidak bisa dihitung NPV-nya,” ujar Arcandra.

Sedang Diproses 

Mengacu pada data Kementerian ESDM, terdapat 21 blok migas yang akan berakhir pada 2019-2026. Untuk 2019, pemerintah telah menetapkan pengelola baru, yakni PT Pertamina Hulu Energi Jambi Merang akan kembali menjadi aperator Blok Jambi Merang, PT Pertamina Hulu Energi Tempirai untuk Blok Raja-Pendapa, Kalrez Petraleum (Seram) Ltd untuk Blok Bula, serta CITIC Seram Energy Limited untuk blok Seram Nan Bula.

Selanjutnya, pada 2020, blok migas yang selesai kontraknya adalah Blok South Jambi Black B, Brantas, Salawati Kepala Burung, Malacca Strait, Makassar Strait, dan onshore Salawati Basin. Blok lainnya yang akan selesai kontraknya pada 2021 adalah Blok Bentu Segat, Selat Panjang, dan blok Rakan yang menghasilkan minyak terbesar di Indanesia.

Pada 2022, menyusul blok Tarakan East, Caastal Plains and Pekanbaru, Bengkal, serta Sengkang bakal rampung kontraknya. Selanjutnya di 2023, blok Rimau, Jabun, dan Koridor blok Karidar merupakan salah satu blok dengan produksi gas cukup besar di Indanesia yang digarap Conoco Philips. 

Di 2025, blok Bangka akan menyusul rampung kontraknya. Direktur Jenderal Minyak dan Gas Bumi Kementerian ESDM Djoko Siswanto sebelumnya mengungkapkan, sesuai dengan Peraturan Pemerintah No. 35 Tahun 2004 Pasal 28, kontraktor eksisting dapat mengajukan perpanjangan kontrak paling cepat 10 tahun dan paling lambat 2 tahun sebelum kontrak selesai. Sementara pemerintah harus membuat keputusan pengelola baru paling telat satu tahun.
