RUPSLB juga memutuskan untuk menghapus nomenklatur Wadirut demi efektivitas jalannya kepemimpinan di  Pertamina. Menteri BUMN Rini Soemarno mengungkapkan, pemberhentian dirut dan wadirut Pertamina terkait masalah kepemimpinan mereka yang dinilai bisa mengganggu stabilitas perusahaan. Keduanya sering tidak sejalan dalam proses pengambilan keputusan.

Usulan pemberhentian disampaikan oleh Dewan Komisaris Pertamina yang mengindikasikan sistem kepemimpinan yang terdiri atas dirut dan Wadirut di perusahaan migas nasional tersebut tidak tepat.   Penggantian keduanya (dirut dan Wadirut) terkait masalah personal. Dalam memimpin Pertamina jika terjadi ketidak cocokan bisa membahayakan perusahaan, kata Rini di Kantor Kementerian BUMN, Jakarta.

Menteri BUMN memastikan keputusan itu atas persetujuan Presiden Joko Widodo (Jokowi). Dirinya telah berkonsultasi dengan Kepala Negara sebelum memutuskan pemberhentian itu. Atas usulan pemberhentian itu, saya melapor ke Presiden dan Presiden menginstruksikan kepada saya, dan sudah dilakukan,” ujarnya. Pencopotan dua direksi tersebut dilakukan mendadak karena Dewan Komisaris Pertamina baru mengusulkan ke Menteri BUMN, Kamis (2/ 2).

Dewan komisaris menganggap permasalahan antara Dirut dan Wadirut Pertamina sudah akut dan akan mengganggu kinerja perseroan. “Betul ( sangat mendadak) karena dianggapnya sudah parah oleh dewan komisaris. Jadi tentu kami harus merespons. Alhamdulillah bisa langsung diberi waktu Presiden, jadi kami Iangsung laporkan,"

Menteri Rini mengaku pencopotan dua direksi BUMN migas itu dilakukan dengan berat hati. Apalagi sebelumnya dia mendukung Dwi Soetjipto dan Ahmad Bambang untuk menjadi orang nomor satu dan dua di Pertamina."Saya sedih saya mengetahui keduanya dan saya salah satu yang mendukung pemilihan Pak Tjip (sapaan akrab Dwi Soetjipto) dan Pak Abe (panggilan Ahmad Bambang)"

Rini mengungkapkan, tahun lalu perusahaan milik pemerintah ini mampu mencatatkan kinerja yang positif karena tim kerja (teamwork) yang solid. Dia tidak ingin persoalan di antara dirut dan Wadirut akan membuat kinerja perseroan berantakan. "Saya meyakini semua berhasil karena teamwork. Kalau team work tidak berjalan, jadi khawatir. 

Akhirnya yang sudah berhasil di 2016 bisa tidak berhasil di 2017. Padahal 2017 ini proyek mulai jalan. Dilapangan bergerak tahun ini sehingga tahun ini sangat penting. Komisaris Utama Pertamina Tanri Abeng mengatakan, ketidak harmonisan Dirut dan Wadirut Pertamina akhirnya berimbas terhadap jalannya roda organisasi di perusahaan. Salah satu contohnya mengenai rencana impor minyak diesel oleh Pertamina.

Bahkan posisi Wakil Dirut Pertamina justru mengganjal kerjasama tim di Jakarta. Alhasil, dewan komisaris yang semula mengusulkan posisi Wakil dirut, merekomendasikan posisi ini dihapus lagi. Yang jelas, awal mulai konflik itu tampak sejak awal Bambang menjabat posisi nomor dua di Pertamina. Ada sejumlah hal yang menjadi indikasinya. Konflik ini jelas tidak hanya merugikan Pertamina, melainkan juga negara. Sebab, perusahaan migas itu sedang mengerjakan proyek infrastruktur negara di bidang migas senilai Rp 700 triliun.

Di luar, mungkin ada pihak berkepentingan yang tidak senang,” kata Rhenald menanggapi pergantian Direktur Utama (Dirut) PT Pertamina Dwi Soetjipto dan Wakil Direktur Utama PT Pertamina Ahmad Bambang.

Dalam rapat umum pemegang saham luar biasa (RUPSLB) di Kantor Menteri Badan Usaha Milik Negara (BUMN), dewan komisaris Pertamina memberhentikan Dwi Soetjipto dan Ahmad Bambang. Selanjutnya, dewan komisaris menunjuk Yenni Andayani sebagai Pelaksana Tugas Dirut Pertamina hingga 30 hari ke depan. Dewan komisaris segera mengajukan calon dirut kepada pemegang saham. Dalam rapat itu juga diputuskan jabatan Wakil Dirut dihapus. 

Tidak Cocok

 

Rhenald menilai, mungkin ada saja pihak dari luar yang mengganggu kepemimpinan PT Pertamina secara internal. Ia menilai, Dwi Soetjipto sebagai dirut yang berasal dari luar Pertamina sangat menjaga Pertamina dan tidak mudah mengikuti

irama orang lain. Di sisi lain, Ahmad Bambang sebagai Wakil dirut berasal dari internal Pertamina. ”Mungkin ini awal ketidakcocokan,” katanya. 

Secara terpisah, Menteri BUMN Rini Soemarno mengakui, sebelumnya dewan komisaris Pertamina mengusulkan adanya jabatan Wakil dirut sehingga dirut dapat lebih berkonsentrasi pada bisnis hulu dan Mega Proyek, sementara Wakil dirut berkonsentrasi pada bisnis hilir. ”Tapi, malah situasi menjadi tidak stabil. Padahal, apa yang dihasilkan Pertamina tidak lepas dari kerja tim. Kalau tim tidak berjalan, kita khawatir nanti hasil yang sudah bagus pada 2016 bisa tidak bagus pada 2017” tutur Rini. Apalagi, pada 2017 banyak proyek besar yang mulai berjalan.

Di Kompleks Istana Presiden, Rini mengatakan, pemberhentian keduanya sudah melalui pertimbangan matang. ”Pada dasarnya masalah kepemimpinan. Penilaian ini atas usulan dewan komisaris dengan pertimbangan tanggung jawab Pertamina pada 2017 sangat besar,” kata Rini. Karena besarnya tanggung jawab, Pertamina dituntut memiliki tim solid. Namun, kerja sama tim itu tidak seperti yang diharapkan. Padahal, target yang lebih berat itu dapat tercapai jika ada kerja sama. Berangkat dari hal itu, dewan komisaris tidak hanya mengganti posisi dirut dan Wakil dirut Pertamina, tetapi juga menambah posisi direksi

Sementara itu, Komisaris Utama PT Pertamina Tanri Abeng mengungkapkan, dalam RUPSLB ditetapkan, nomenklatur jabatan wakil dirut dihilangkan. Ia mengakui, dengan jabatan dirut dan wakil dirut, banyak hal yang seharusnya dapat dilakukan dengan lebih cepat dan saling bersinergi justru berjalan lambat. ”Barangkali ada 20 tenaga strategis yang semestinya sudah diganti atau di isi, tetapi tidak terisi dan diganti,” kata Tanri. Pergantian Direktur Utama PT Pertagas pun terlambat diganti. Dari penanganan proyek-proyek, ia menilai, proses pengambilan keputusan yang cepat tidak berjalan.

Keputusan tersebut diambil karena ada persoalan kinerja dan teamwork yang tidak berjalan dengan baik. Dwi dan Bambang dianggap belum mampu memenuhi tanggung jawab yang diberikan. "Terkadang dalam satu struktur itu tidak berjalan sesuai dengan intense struktur itu. Maka akan lebih baik kalau dicari talent-talent baru yang bisa bekerja sama dan solid teamwork-nya di Pertamina,” kata Komisaris Utama Pertamina Tanri Abeng

RUPS Pertamina digelar di kantor Kementerian BUMN. Selain Tanri, hadir pula Wakil Komisaris Utama yang juga Wakil Menteri ESDM Arcandra Tahar Kepala Badan Kebijakan Fiskal (BKF) yang juga Komisaris Pertamina Suahasil Nazara, serta jajaran direksi Pertamina. Termasuk Dwi dan Bambang. Namun, saat sesi konferensi pers setelah RUPS, dua sosok yang diberhentikan itu tidak ikut. 

RUPS juga memutuskan untuk mengubah nomenklatur perseroan dengan meniadakan posisi Wadirut. "Barangkali nomenklatur ini jadi bagian dari kondisi yang mengakibatkan tidak terjadinya kerja sama yang bagus itu," kata Tanri. Jabatan Wadirut merupakan posisi baru di struktur Pertamina. Pada Oktober 2016 Menteri BUMN Rini Soemarno menambah dua jabatan baru, yakni Wadirut serta direktur Mega Proyek Pengolahan dan Petrokimia. Tujuannya adalah pembagian tanggung jawab antara sektor hulu dan hilir. Namun, kenyataannya ternyata tidak sesuai dengan harapan.

Setelah pencopotan Dwi, Yenni Andayani menjadi pelaksana tugas Dirut Pertamina. "Kita harus berhati-hati untuk mengubah policy-policy. Yang penting adalah melakukan pengisian jabatan. Saya kira tiap-tiap direksi juga sudah sangat paham apa yang harus dilakukan dan pesannya juga jelas. Kita harus melakukan sustainability untuk 2017 ini," tuturnya.

Perempuan 51 tahun itu menjabat direktur gas dan energi baru terbarukan Pertamina sejak 28 November 2014. Sarjana hukum Universitas Parahyangan tersebut memulai karir di Pertamina pada 1991. Dia juga pernah menduduki posisi Dirut PT Nusantara Gas Company Services di Osaka, Dirut PT Donggi-Senoro LNG, serta senior VP gas and power Pertamina. 

Rini Soemarno menyatakan, Dwi dan Bambang diberhentikan atas permintaan dewan komisaris. Setelah menginterview jajaran direksi Pertamina, dewan komisaris menyimpulkan, ada persoalan kepemimpinan. Dewan komisaris kemudian menyampaikan usul tertulis untuk memberhentikan Dwi dan Bambang. Setelah mendapatkan rekomendasi tersebut, Rini melapor ke Presiden Joko Widodo (Jokowi) pada Kamis (2/2). Gatot mengatakan Pertamina harus memiliki manajemen yang solid untuk menjalankan tanggung jawab perusahaan yang semakin besar. "Kami melihat internal harus ditingkatkan, sehingga perlu ada penyegaran," tuturnya. Pergantian pemimpin Pertamina ini menurut pengamat perminyakan terbilang kontroversial. Soalnya, baru 20 Oktober 2016 terjadi perubahan susunan kepemimpinan Pertamina. Saat itu, Menteri Rini menetapkan struktur baru direksi yang menyediakan kursi Wakil Direktur Utama ditempati Ahmad Bambang, pos ini bertugas memimpin dan mengkoordinasikan direktorat pemasaran, direktorat pengolahan, serta deputi direktur energi baru terbarukan. 

Wakil direktur utama juga berwenang mengambil keputusan impor bahan bakar minyak.  Struktur baru perusahaan "membagi kekuasaan' kepada direktur utama dan wakilnya. Deputi Bidang Energi, Logistik, dan Kawasan Pariwisata Kementerian Badan Usaha Milik Negara Edwin Hidayat Abdullah menyatakan struktur baru dibutuhkan untuk menggenjot kinerja perseroan. "Supaya sinergi, pemasaran dan lini produksi dalam satu rantai kendali," ujar Edwin, yang juga Komisaris Pertamina. Orang nomor dua di Pertamina itu bahkan berwenang menunjuk direktur lain untuk mengambil keputusan jika direktur utama dan wakilnya berhalangan. 

Dalam anggaran dasar sebelumnya kewenangan soal ini dipegang direktur utama. Belakangan, model kepemimpinan itu menuai  masalah. Sejumlah sumber mengatakan Dwi sama sekali tidak dimintai pendapat dalam penyusunan struktur baru ini. Dalam mekanisme impor minyak, menurut beberapa pejabat perusahaan itu, direktur utama hanya menjadi semacam tukang stempel. Keputusan diambil Wakil direktur utama, yang membawahi direktur pengolahan dau direktur pemasaran. Deputi bidang usaha jasa keuangan, jasa survei dan konsultan Kementerian BUMN Gatot Trihargo menjelaskan, keputusan itu diambil untuk mendorong Pertamina menjadi perusahaan kelas dunia. “Kami melihat internal ada yang perlu ditingkatkan, perlu ada penyegaran. Maka dua jabatan ini mengalami perubahan,” kata Gatot. 

Dwi Soetjipto telah menjabat sebagai orang nomor satu Pertamina selama kurang lebih tiga tahun. Di Pertamina, Dwi menggantikan Karen Agustiawan yang mengundurkan diri. Selama tiga tahun menjabat, banyak prestasi yang berhasil ditorehkan oleh Dwi Soetjipto. Berikut ini rapornya: 

1. Pembubaran Petral. 

Pertamina telah menyelesaikan proses likuidasi Pertamina Energi Trading Limited (Petral) Group pada Februari 2016. Proses likuidasi tersebut lebih cepat dibandingkan target sebelumnya, yaitu pada Juni 2016. 

Petral Group terdiri dari Petral Hong Kong, Pertamina Energy Services Pte Ltd, dan Zambesi Investment Limited. Keberadaan Petral digantikan oleh Integrated Supply Chain (ISC). Dengan pembubaran Petral dan digantikan oleh ISC ini mampu memotong perantara dari rantai suplai, peningkatan pemanfaatan dan fleksibilitas  dari armada laut Pertamina. Terobosan lainnya adalah dengan pemberian kesempatan yang sama dan adil untuk semua peserta pengadaan. Keberadaan ISC sangat penting untuk membuka transparansi seluas-luasnya supaya banyak mitra terpilih yang ikut serta. Dengan demikian, ada perubahan yang signifikan berupa penghematan.

2. Peluncuran Perialite

Awal 2016, Pertamina meluncurkan produk Bahan bakar minyak (BBM) baru dengan Ron 90 bertajuk Pertalite. Produk ini diluncurkan untuk mengurangi penggunaan Premium yang saat itu masih disubsidi pemerintah. Produk ini terbukti jitu, setelah enam bulan diluncurkan, Pertamina mencatat penggunaan Premium menurun drastis. Konsumsi Premium yang ,biasanya di kisaran 75 ribu Kilo Liter (KL) per hari langsung menjadi 68 ribu Kilo Liter (KL) per hari. Sampai-saat ini, Pertalite menjadi produk yang banyak digunakan para penggunanya. Dengan Ron 90, kualitas Pertalite tidak jauh beda dengan Pertamax yang memiliki Ron 92.

3. Revitalisasi Kilang Minyak

Selama di Pertamina, Dwi Sutjipto berhasil memutuskan mengenai revitalisasi kilang minyak yang akan dimulai pada tahun ini. Setidaknya kilang yang akan direvitalisasi yaitu Kilang Cilacap, Balongan, Dumai, Balikpapan dan Plaju. Revitalisasi kilang minyak ini mencatat total investasi mencapai Rp 210 triliun, dan prosesnya sendiri ditargetkan rampung pada 2021. Dengan adanya revitalisasi ini nantinya produksi minyak Pertamina akan meningkat 150 persen.

4. Bahan Bakar Minyak (BBM) Satu Harga

Pada Oktober 2016, Presiden RI Joko Widodo menetapkan BBM Satu Harga di tanah Papua. Meski diluncurkan pada Oktober, namun kebijakan ini baru berlaku 1 Januari 2017. Kebijakan ini dibuat untuk memberikan keadilan bagi masyarakat Indonesia yang berada diwilayah terpencil, terluar dan terjauh. Selama ini, harga BBM di wilayah itu harganya sangat tinggi jika dibandingkan di Pulau Jawa.

Dwi mengaku, kebijakan satu harga ini Pertamina harus mensubsidi Rp 800 miliar per tahun. Namun demikian, demi menciptakan keadilan, anggaran itu tidak terlalu dipermasalahkan oleh Pertamina.

5. Kalahkan Laba Petronas

Perolehan laba Pertamina pada 2016 lebih besar dari BUMN migas milik Malaysia Petronas. Hal tersebut seiring langkah Pertamina melakukan efisiensi. Dwi Soetjipto mengatakan, nilai efisiensi yang bisa diraih Pertamina meningkat signifikan. Dan, mulai hari ini beliau diberhentikan sesuai Surat Keputusan Menteri BUMN,” ujar Deputi Bidang Usaha Jasa Kementerian BUMN Gatot Trihargo di Kantor Kementerian BUMN. RUPSLB tersebut digelar tertutup sekitar pukul 10.00-10.30 WIB di lantai 7 Gedung Utama Kantor Kementerian BUMN. RUPSLB dihadiri Komisaris Utama Pertamina Tanri Abeng usai RUPS, perwakilan Kementerian Keuangan, Kepala BKF Suahasil Nazra, Perwakilan Kementerian ESDM, Wakil Menteri ESDM Arcandra Tahar dan sejumlah pejabat tinggi negara lainnya.

Tanri Abeng mengatakan, ada beberapa kebijakan yang menyangkut proyek Pertamina yang dibuat Dirut dan Wadirut tapi tak sinkron. Dinamika seperti itu tidak bisa terus dibiarkan. Tanri mencontohkan, pengangkatan dan pergantian para pegawai senior tidak kunjung dilakukan. Padahal, penyegaran dan konsep baru bisa saja hadir dari para orang-orang muda. Beberapa kursi bahkan tidak terisi. ‘Ada 20 tenaga strategis yang mestinya diganti atau diisi tidak segera diambil keputusannya. Misalkan dalam Pertagas banyak kursi kosong dan regenerasi banyak terlambat,” ujar Tanri.

Tanri menambahkan, banyak proyek yang keputusannya tidak segera dilakukan. Salah satunya impor solar. Keputusan yang ditandatangani oleh Wadirut Ahmad Bambang tersebut tidak disepakati oleh Dirut Dwi Sutjipto. “Misalnya kemarin yang ribut itu kenapa Wadirut teken impor solar. Itu tidak benar, seharusnya pengalokasian itu ujar Tanri. sudah jalan, tapi antara Dirut dan Wadirut tidak sejalan, itu antara lain. Itu kalau tidak diambil tindakan bisa bahaya,”

Selain proyek impor solar, terkait kenaikan harga Pertamax juga banyak hal yang sebenarnya tidak harus terjadi. “Sebetulnya mereka bisa berkomunikasi. tapi justru malah dipermasalahkan di antara mereka, nah ini semua menurut saya kerja sama yang tidak mendukung tercapainya kinerja yang optimal,” ujar Tanri.

Dia menjelaskan, harusnya ada komunikasi yang terbentuk dengan baik antara Dwi Sutjipto dan Ahmad Bambang. Ia menilai, ketidak sesuaian keputusan antara keduanya bisa membahayakan posisi Pertamina.  Untuk diketahui, perombakan direksi perusahaan minyak dan gas negara itu sebelumnya dilakukan Oktober 2016. Saat itu, RUPS menambah direksi dari tujuh menjadi sembilan orang. Jabatan Wadirut dimunculkan kembali, diduduki Ahmad Bambang, yang sebelumnya Direktur Pemasaran. Dalam struktur baru, ada kursi direktur Mega Proyek pengolahan dan Petrokimia yang diberikan kepada Rachmad Hardadi. 

Perubahan tertuang dalam revisi anggaran dasar Pertamina. Namun munculnya jabatan Wadirut membuat Pertamina mengalami dualisme kepemimpinan. Pemegang saham mengubah anggaran dasar, yang membatasi kewenangan Dirut, sebaliknya memperbesar peran Wadirut. Deputi Bidang Energi, Logistik, dan Kawasan Pariwisata Kementerian BUMN Edwin Hidayat Abdullah mengatakan ketegangan di internal perusahaan terjadi karena masalah komunikasi. 

Atas Permintaan Jokowi 

Ketua Tim Ahli Wakil Presiden Sofjan Wanandi mengungkapkan, pergantian Dirut Pertamina Dwi Soetjipto dan Wadirut Ahmad Bambang merupakan permintaan Presiden Joko Widodo (Jokowi). Surat keputusan pencopotan keduanya diserahkan Menteri Badan Usaha Milik Negara Rini Soemarno pada Jumat 3 Februari pagi. “Ya itu dari Presiden langsung suruh diganti,” ujar Sofjan, di Kantor Apindo, Gedung Permata Kuningan, Jakarta.

Menurut dia, perintah Presiden sangat berdasar lantaran dualisme kepemimpinan di perusahaan minyak  milik pemerintah itu membuat kinerja Pertamina macet sejak beberapa bulan terakhir. Adapun langkah pencopotan diharapkan memberi efek positif bagi kinerja Pertamina di masa mendatang.  “Pemerintah pasti mempunyai alasan untuk mengganti itu dan menurut saya itu adalah karena mereka tidak perform ke pemerintah karenanya dia harus diganti, memang ada konflik bikin macet Pertamina,” kata pemilik bisnis Gemala Group.

Menteri Rini Pro-Bambang?

Namun demikian, Sofyan tidak mau mengomentari ikhwal pencopotan Dwi Soetjipto atas alasan pribadi Menteri BUMN Rini Soemarno. Beredar kabar, Menteri BUMN lebih memprioritaskan kewenangan Ahmad Bambang selaku Wadirut Pertamina. “Ya itu saya tidak tahu tanya sama dia, infonya begitu, bahwa dia itu lebih pro ke Bambang,” katanya.

Sofyan meyakini, pengganti Tjip, sapaan akrab Dwi Sutjipto, yang akan ditunjuk pemerintah nantinya adalah sosok pemimpin yang kredibel. Terkait pengganti sementara, Sofyan tidak mau berharap banyak. Dia mengatakan, Direktur Gas dan Energi Baru Terbarukan (EBT) Pertamina Yenni Andayani itu belum lama berada di perusahaan berlogo kuda laut ini. “Ini kan pejabat baru sebulan, tidak bisa diharapkan banyak dari pejabat. Sosok Yenni Andayani

Yenni Andayani yang bakal memimpin Pertamina selama 30 hari, sejak 28 November 2014, menjabat Direktur Energi Baru dan Terbarukan Pertamina. Tugasnya berdasarkan SK Menteri BUMN No.SK 265/MBU/11/2014. Ia sebelumnya juga bekerja. dengan dasar SK No.Kpts-051/ C00000/2014-S0 tentang Tugas dan Wewenang Direksi dan Perubahan Garis Lapor Organisasi PT Pertamina (Persero). Lahir pada 24 Maret 1965 silam, Yenni merupakan lulusan Sarjana Hukum dari Universitas Parahyangan tahun 1988. “Perjalanan karir-nya dimulai sejak 1991 di Pertamina dan pernah dipercaya memegang posisi sebagai Direktur Utama PT Nusantara Gas Company Services di Osaka, Jepang,” seperti dikutip dari situs resmi Pertamina.

Yenni juga pernah menjabat Direktur Utama PT Donggi-Senoro LNG pada periode 2009-2012. Setelah itu ia menjadi Senior Vice President Gas and Power, Direktorat Gas Pertamina pada 2013-2014. Lalu apa programnya Yenni menjadi Pelaksana Tugas (Plt)  Dirut Pertamina selama 30 hari? Yenni mengatakan akan menjalankan rencana kerja yang telah ditetapkan sebelumnya. 'Tidak akan banyak perubahan selama dia menjabat Plt Dirut, “Saya kira semua sudah jelas, RKAP semua sudah disetujui sudah ada dan saya kira tidak ada hal yang perlu dipertanyakan lagi,” kata Yenni di Kementerian BUMN.

Yenni menambahkan, arahan para pemegang saham adalah agar jajaran Pertamina menjadi lebih solid ke depannya. Pertamina merupakan salah satu raksasa Badan Usaha Milik Negara (BUMN). Yenni menyadari keputusan yang diambil harus berdasarkan kajian yang matang. “Kita juga harus berhati-hati untuk mengubah policy-policy, yang terpenting adalah tadi melakukan pengisian jabatan,” paparnya. “Saya kira masing-masing direksi juga sudah sangat paham apa yang harus dilakukan dan pesannya jelas kita harus melakukan sustainability kita untuk 2017 ini, tegas Yenni
